1. The Service
Foreman provides software that helps home-service contractors identify customer reactivation opportunities, draft personalized outreach, and track resulting bookings. The Service includes our web application, mobile interfaces, APIs, and supporting tooling.
We may update, add, or remove features at our discretion. We'll give reasonable notice for material changes that affect existing functionality.
2. Your account
To use the Service, you must create an account. You agree to provide accurate, current information and to keep it updated. You are responsible for maintaining the security of your credentials and for all activity under your account.
You must be at least 18 and have authority to enter into these Terms on behalf of your business. The Service is not intended for personal or non-commercial use.
3. Acceptable use
You agree not to:
- Use the Service to send spam, unsolicited messages, or any communication that violates applicable laws (including TCPA, CAN-SPAM, and equivalent local rules);
- Upload customer contact information without a lawful basis to communicate with those customers;
- Reverse-engineer, copy, or attempt to extract the Service's source code or models;
- Use the Service to harass, defraud, or harm any individual;
- Interfere with the Service's operation, security, or other users;
- Resell or sublicense the Service without our written consent.
4. Customer data
You retain ownership of all data you upload or generate through the Service ("Customer Data"). You grant Foreman a limited, worldwide license to host, process, and analyze Customer Data solely to provide the Service.
We do not sell Customer Data. We do not use Customer Data to train third-party AI models. We may use aggregated, de-identified data to improve the Service. See our Privacy Policy for details.
5. Outreach & communications
The Service drafts communications on your behalf, but nothing is sent without your explicit approval. You are the sender of all messages and remain responsible for compliance with applicable communication laws, including obtaining consent where required.
You represent that you have the right to contact each customer in your customer book using the contact information you provide.
6. Fees & billing
Paid plans are billed in advance on a monthly or annual basis. Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice; changes take effect on your next billing cycle.
You are responsible for any taxes associated with your use of the Service. Late payments may result in suspension of service.
7. Intellectual property
The Service, including all software, designs, and content provided by Foreman, is owned by Foreman and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
Any feedback, suggestions, or ideas you provide may be used by Foreman without restriction.
8. Third-party services
The Service integrates with third-party services (Gmail, Google Calendar, Twilio, Jobber, QuickBooks, Stripe, others). Your use of those services is governed by their own terms. Foreman is not responsible for their availability or behavior.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. FOREMAN DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee any specific revenue outcome, response rate, or booking volume from your use of the Service.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOREMAN'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) FEES YOU PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
FOREMAN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR LOST DATA.
11. Termination
You may cancel your account at any time. Upon cancellation, your access ends at the end of the current billing period. We may suspend or terminate your account for violations of these Terms or non-payment.
You can export your data at any time. After termination, we'll retain your data for 30 days, then delete it.
12. Changes to these Terms
We may revise these Terms from time to time. Material changes will be communicated via email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Disputes will be resolved exclusively in the state or federal courts located in Wilmington, Delaware.
